1. Introduction

By accessing our website, engaging our services, making an enquiry, registering for a property inspection, entering into a transaction, or otherwise dealing with Seadi Pulse Limited, you agree to be bound by these Terms.
If you do not agree with these Terms, you should discontinue use of our services and platforms.
2. About Our Services
Seadi Pulse Limited operates in the real estate and property development/marketing sector and may provide services including:

- Property reservations and allocations;

3. Property Information
We make reasonable efforts to ensure that information relating to properties, including descriptions, prices, dimensions, photographs, amenities, locations, payment plans, and availability, is accurate and current.
However:
- Property information may change without prior notice;
- Images and illustrations may be for demonstration purposes;
- Actual finishes, fittings, layouts, colours, landscaping, and amenities may differ from promotional materials;
- Property availability is subject to confirmation;
- Prices and payment plans may change; and
- Any quoted information should be independently verified before a transaction is concluded.
A property listing or advertisement does not, by itself, constitute a legally binding offer to sell.
4. Property Inspections
Clients may be required to schedule an inspection before visiting certain properties or development sites.
Seadi Pulse Limited reserves the right to:
- Require prior registration;
- Reschedule or cancel an inspection where necessary;
- Restrict access to certain areas of a development site;
- Require visitors to comply with site safety instructions; and
- Refuse access where reasonable security or safety concerns exist.
Visitors enter development and construction sites at their own risk and must comply with all instructions provided by authorised personnel.
5. Reservations and Payments
Where a property reservation is permitted, the applicable reservation fee, deposit, payment plan, and other financial obligations will be communicated to the client.
Unless expressly stated otherwise in writing:
- A reservation does not constitute completion of a property purchase;
- Payments must be made through approved payment channels;
- Clients should retain evidence of all payments;
- Payments may be subject to specific terms regarding refunds, cancellation, transfer, or forfeiture; and
- A property will only be considered fully purchased or allocated when all required contractual and administrative conditions have been satisfied.
Clients are encouraged to review all transaction documents carefully before making payments.
6. Payment Plans
Where Seadi Pulse Limited offers an instalment or payment plan, the client must comply with the agreed payment schedule.
Failure to make payments when due may result in:
- Suspension of the payment plan;
- Additional charges where contractually applicable;
- Cancellation of a reservation;
- Reallocation of the property where permitted under the relevant agreement; or
- Other remedies provided under the applicable transaction agreement.
The specific consequences of default will be governed by the applicable contract or payment agreement.
7. Refunds and Cancellations
Refunds, cancellations, transfers, and related matters will be governed by the terms applicable to the specific transaction.
Unless expressly agreed otherwise in writing, payment of a reservation or other property-related fee does not automatically create an unconditional right to a refund.
Any applicable refund will be processed in accordance with the relevant agreement, the Company’s policies, and applicable law.
8. Client Responsibilities
Clients are responsible for:
- Providing accurate and complete information;
- Providing genuine identification and documentation where required;
- Reviewing all transaction documents before signing;
- Making payments when due;
- Conducting appropriate due diligence before committing to a property transaction;
- Providing accurate contact information;
- Promptly notifying the Company of changes to relevant information; and
- Complying with all applicable laws and contractual obligations.
Clients should not rely solely on advertisements or verbal representations when making significant property investment decisions.
9. Due Diligence
While Seadi Pulse Limited will provide relevant information available to it, clients are encouraged to conduct appropriate independent due diligence before entering into a property transaction.
Depending on the transaction, such due diligence may include verification of:
- Property title and ownership;
- Planning and development approvals;
- Survey information;
- Property boundaries;
- Payment obligations;
- Contractual terms;
- Applicable government requirements; and
- Other matters relevant to the particular property.
Where appropriate, clients may obtain independent legal, financial, valuation, surveying, or other professional advice.
10. Website and Digital Platforms
Our website and digital platforms are provided primarily for information, communication, and service purposes.
You agree not to:
- Use our platforms for unlawful purposes;
- Attempt to gain unauthorised access to our systems;
- Interfere with the operation or security of our platforms;
- Upload malicious software or harmful content;

Seadi Pulse Limited shall not be responsible for delays or failures caused by circumstances beyond its reasonable control, including but not limited to:
- Natural disasters;
- Fire or flooding;
- Epidemics or pandemics;
- Government actions or restrictions;
- Civil unrest;
- War or terrorism;
- Strikes or labour disputes;
- Major infrastructure failures;
- Power or telecommunications failures; or
- Other unforeseen events beyond the Company’s reasonable control.
Where such circumstances occur, the Company will take reasonable steps to minimise their impact.
17. Changes to Services and Terms
Seadi Pulse Limited reserves the right to modify, suspend, or discontinue any service, property listing, promotion, payment plan, website feature, or other offering where reasonably necessary.
We may also update these Terms from time to time.
The updated Terms will become effective from the date stated in the revised version.
18. Governing Law
These Terms shall be governed by and interpreted in accordance with the laws of the Federal Republic of Nigeria.
Any dispute arising from or relating to these Terms or our services shall, where possible, first be resolved through good-faith discussion and negotiation.
Where an amicable resolution cannot be reached, the dispute may be referred to the appropriate court or other lawful dispute-resolution mechanism with jurisdiction.
19. Severability
If any provision of these Terms is found to be invalid, unlawful, or unenforceable, that provision shall be interpreted or modified to the extent necessary to make it enforceable, where legally possible.
The remaining provisions shall continue in full force and effect.
20. Entire Agreement
These Terms, together with any applicable transaction documents, policies, agreements, and written terms provided by Seadi Pulse Limited, constitute the applicable understanding between the parties concerning the relevant services.
Where there is a conflict between these general Terms and a specific written transaction agreement, the specific transaction agreement shall prevail for that transaction to the extent of the conflict.
